信用证与出口合同的统一性

The unity of l/C and export contract

　　信用证虽然独立于基础合同之外，但是它是依据买卖合同而开立的，因此，它与买卖合同在主要方面是相同的，具有统一的一面。

Although it is independent of the basic contract, letter of credit is issued in accordance with the sales contract. Therefore, it is identical with the sales contract in major aspects and has a unified side.

　　1、信用证的开立是履行贸易合同义务的行为

　　信用证是开证行应买方的请求而开立，允许在受益人履行信用证规定条件的前提下，对受益人承担付款责任。它的开立是按买方的指示办理的，而买方申请开立信用证的依据是合同，是按照合同支付条款中有关规定要求开立的。这表明申请人作为合同买方，遵守合同信用，已经执行合同，开出了信用证。因此，信用证的开立是买方履约的行为。

1. The issuance of a letter of credit is an act of fulfilling the obligations of a trade contract

The l/C is issued by the issuing bank at the request of the buyer and allows the beneficiary to assume the responsibility of payment under the premise that the beneficiary fulfills the terms and conditions of the L/C. It is issued in accordance with the instructions of the buyer, and the buyer's application for the letter of credit is based on the contract, in accordance with the relevant provisions of the contract payment terms required to be issued. This indicates that the applicant, as the buyer of the contract, has complied with the contract credit, executed the contract and opened a letter of credit. Therefore, the issuance of the letter of credit is the buyer's performance.

　　2、信用证的开立受贸易合同条款的制约

　　买卖合同是买卖双方就买卖某种货物而达成的书面文件。如果买卖双方同意以信用证的方式付款，就应该在买卖合同中规定信用证条款，从而使买方有义务开立信用证。

　　各个信用证均是依据买卖合同中的信用证条款而开立的，卖方对其内容的要求只能在该条款中加以规定。双方在签定买卖合同时，应明确如何规定开立信用证，以便交易的顺利进行。因为银行开立信用证完全依据买方申请和指示，不接受卖方关于其内容的指示。当信用证送达卖方时，卖方依据信用证条款审核，若发现与合同不符，可根据情况通知买方修改信用证。

　　3、信用证中关于货物及与货物有关的装运、保险、检验等规定源于合同条款，应与合同规定相一致。
